Paralegal

Holding / asset management company is seeking a Paralegal. This role provides critical support across investment entities, corporate subsidiaries, and operating companies. You will assist with contracts, regulatory compliance, corporate governance, and internal processes across a dynamic and growing portfolio. This position is ideal for someone who takes initiative and thrives in a sophisticated, fast-paced environment and enjoys working across multiple business lines, investment structures, and regulatory frameworks.

Responsibilities:
Contract & Transaction Support:
• Help with drafting standard agreements including governance documents, NDAs, vendor contracts, service agreements, and subscription documents.
• Support investment and corporate transactions, including preparing signature packets, closing checklists, and maintaining transaction files.
Corporate Governance & Entity Management:
• Maintain corporate records for a multi-entity holding company structure, including subsidiaries, investment vehicles, and LLCs.
• Assist with entity formation and life cycle.
• Prepare annual reports, resolutions, organizational documents, and other governance filings.
• Assist with meeting materials, consents, and documentation.
Regulatory & Compliance Support:
• Support compliance functions related to asset management regulations, including SEC requirements, state filings, Census Reporting, Form ADV updates, and fund-related disclosures.
• Assist with KYC/AML requests, investor onboarding documentation, and data gathering.
• Maintain legal calendars, UCC deadlines, and filing trackers for multiple entities.
Legal Operations & Documentation:
• Log and process invoices  
• Maintain legal documents, contracts, restricted lists and investment records
• Maintain various legal databases, SharePoint folders, and contract archives with high accuracy.
• Coordinate with external and internal stakeholders across Finance, Compliance, Investment teams, Accounting, HR, and Operations. And across subsidiaries and affiliates.

Qualifications:
• 3-5+ years of experience as a Paralegal in a holding company, law firm, asset management, investment management, private equity or similar finance-driven environment. Experience working in-house is highly preferred.
• Experience supporting contracts, transactions and multi-entity corporate structures.
• Familiarity with legal technology tools, document management systems, E-Billing platforms, sanctions screening tools, and AML/KYC platforms.
• High attention to detail and strong organizational skills, with the ability to manage multiple matters and deadlines
• Ability to exercise sound judgment and handle sensitive and confidential information
• Strong written and verbal communication skills
• Proficiency in Microsoft Office (Word, Excel, Outlook); experience with compliance or document management systems is a plus, including AI tools.
• CT and/or NY notary public certification preferred but not required.
• Undergraduate degree from accredited College/University required
• Must be willing to travel between NY and CT offices as required

Compensation: $100-130K base (commensurate with experience) plus discretionary bonus and competitive benefits package
